Terms of Service
Last updated: August 13, 2026
These Terms of Service (the “Terms”) govern your access to and use of StructNotes™, the note-taking application available at structnotes.io, together with any related websites, software, and services (collectively, the “Service”). The Service is operated by structnotes.io (“StructNotes,” “we,” “us,” or “our”). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
StructNotes is currently in early, invite-only beta and is provided on an “as is” and “as available” basis. Features may change, and availability and data preservation are not guaranteed. Keep your own backups of anything important.
1. Eligibility and beta access
Access is currently limited to users with a valid invite. You must be old enough to form a binding contract in your jurisdiction to use the Service. If you use the Service on behalf of a school, institution, or other organization, you represent that you are authorized to accept these Terms on its behalf and to comply with its policies.
2. Your account
You are responsible for the information you provide, for maintaining the confidentiality of your login credentials, and for all activity that occurs under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a risk to the Service or other users.
3. Your content and ownership
You retain all ownership rights in the notes, text, images, drawings, and other materials you create or upload (“Your Content”). We do not claim ownership of Your Content.
You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, and display Your Content solely as necessary to operate and provide the Service to you — for example, to save your notes, sync collaborative edits, render exports, and, where you invoke them, pass selected text to the translation feature. This license exists only to run the Service and ends when Your Content is deleted, except for residual copies in routine backups.
You are solely responsible for Your Content and represent that you have the rights necessary to create and store it and that it does not infringe the rights of others or violate any law.
4. Acceptable use
You agree not to:
- use the Service for any unlawful purpose or to store or distribute infringing, harmful, or unlawful content;
- attempt to gain unauthorized access to the Service, other accounts, or its underlying systems;
- interfere with or disrupt the integrity or performance of the Service (including via automated abuse, excessive requests, or denial-of-service);
- reverse engineer, decompile, scrape, or copy the Service or its software except to the extent permitted by law;
- resell, sublicense, or commercially exploit the Service without our written permission; or
- use the Service in violation of your school’s or organization’s policies.
5. Intellectual property and brand
The Service — including the StructNotes software, source code, user interface, design, graphics, and documentation — is owned by structnotes.io and its licensors and is protected by copyright, trademark, and other laws. © 2026 structnotes.io. All rights reserved.
StructNotes™, the StructNotes name, and the StructNotes logo are trademarks of structnotes.io. Nothing in these Terms grants you any right to use our name, logo, or other brand features without our prior written permission. All goodwill arising from use of the marks inures to us. Other product and company names mentioned in the Service may be the trademarks of their respective owners.
Subject to these Terms, we grant you a limited, personal, non-transferable, non-exclusive, revocable license to access and use the Service for your own note-taking. All rights not expressly granted are reserved.
6. Third-party services
The Service relies on third-party providers for hosting and certain optional features. When you use the translation feature, the text you select is sent to a third-party translation service to perform the translation. Blocks such as embedded graphs, videos, or drive links may load content from their respective providers. Your use of those features is also subject to the providers’ own terms and privacy practices, which we do not control. See our Privacy Policy for how data is handled.
7. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, error-free, or that content will be preserved. Nothing in the Service constitutes professional, financial, legal, medical, or academic advice.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STRUCTNOTES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE. Because the Service is offered free of charge during beta, our total aggregate liability for any claim relating to the Service is limited to the greater of the amount you paid us in the twelve months preceding the claim (if any) or CAD $50. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
9. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the Service. Provisions that by their nature should survive termination (including intellectual-property, disclaimer, liability, and governing-law provisions) will survive.
10. Changes to the Service and these Terms
We may modify the Service or these Terms from time to time. If we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
11. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to their conflict-of-laws rules. Subject to the paragraph below, you agree to the exclusive jurisdiction of the courts located in Ontario, Canada for any dispute arising out of or relating to these Terms or the Service.
Nothing in this section deprives you of the protection of the mandatory consumer-protection laws of the country, province, or state in which you reside, or of your right to bring proceedings in your local courts where such laws require. Where you deal with us as a consumer, those mandatory rights continue to apply regardless of the choice of law above.
